FLSmidth to Acquire GL&V's
Process Division
Valby,
Denmark -- FLSmidth has signed a conditional agreement with
the Board of Directors of Groupe Laperriere & Verreault Inc.
(GL&V), a listed Canadian company, to acquire the latter's
Process Division (GL&V Process), which is among the world's
leading providers of separation technology for the metal and
minerals industries.
The
agreement is subject to several conditions, including the
approval of at least 75% of GL&V's shareholders, on a per
class basis and the attainment of governmental approvals.
GL&V's
Board of Directors unanimously recommends to its
shareholders that FLSmidth acquires the Division for CAD
983m (DKK 4.8bn) in cash on a net debt-free basis,
corresponding to CAD 33 (DKK 162) per share on a fully
diluted basis.
GL&V
Process employs some 1,000 people and is expected to post a
turnover of approx. CAD 523m (DKK 2.6bn) for the past
financial year (1 April 2006 to 31 March 2007). GL&V Process
is primarily comprised of the companies Dorr-Oliver Eimco
and Krebs International which are world leaders in their
respective fields.
The
acquisition of GL&V Process enables FLSmidth to realize the
global growth strategy for its Minerals activities. This is
a strategy based on growing the Group's minerals business to
the same magnitude and strength as the cement business. As a
result of the acquisition the Group will therefore reduce
its long-term exposure to cyclical market developments.
The
FLSmidth Group's minerals activities are today marketed
under the name of FFE Minerals. Going forward, the Minerals
business will represent a substantially greater portion of
the FLSmidth Group's overall activities, and the intention
is to see increasing global integration between Cement and
Minerals activities. Within this context it has been decided
that the FLSmidth Group's overall Minerals business in the
future will be marketed under the name of FLSmidth Minerals.
Complementary businesses
FFE
Minerals and GL&V Process complement each other both
geographically and product-wise, as has been demonstrated
through several years of partnering in international
projects.
FFE
Minerals is an expert in pyro technologies and in crushing
and grinding of minerals, whilst GL&V Process has
specialized in the downstream separation processes.
Together, their products represent one complete process
technology from the extraction of minerals to the end
product. Similarly, the two companies complement each other
on the commercial front.
FFE
Minerals' main commercial focus is on selling individual
machine units, whilst GL&V Process has an organization that
focuses on aftermarket sales and service. Geographically,
the strengths of the two companies are well distributed
across the globe. GL&V Process and FFE Minerals will
together have a strong presence in all the relevant markets
worldwide. The joint operation, FLSmidth Minerals, will
become a global market leader in crushers, mills,
hydrocyclones, flotation, sedimentation, materials handling
and calcination.
It is
expected that the acquisition will lead to a number of sales
and cost synergies. FLSmidth & Co. will announce its
expectations in this respect when the acquisition has been
completed.

Schuetz Named New Managing
Director of Rhewum

CEMA : Conveyor Industry Sees
Growth in 2006
NAPLES,
FL -- The Conveyor Equipment Manufacturers Association
(CEMA) reports that 2006 shipments in North America were up
5.9% for the conveyor industry.
CEMA
estimates that shipments totaled $7.45 billion for 2006, an
increase of $420 million from 2005 revised shipments of
$7.03 billion. This strong showing follows a 5.7% increase
in 2005.
CEMA
estimates that new orders totaled $7.46 billion for 2006,
which represents a 2.9% increase or $212 million increase
over revised 2005 orders.
Former
CEMA President, Thomas Easterhouse, announced the results at
the Association’s annual meeting in Palm Desert, California,
in March.
CEMA
tracks new orders and shipped sales volume in seven classes
of unit handling equipment and five classes of bulk handling
equipment.
The
executives representing CEMA member companies who attended
the annual meeting were pleased with the 2006 results and
were optimistic for 2007.
Founded in 1933, CEMA is the trade association of leading
North American conveyor equipment manufacturers and
engineering firms.

Ms. Bennett needs help with a
bauxite conveyor problem:
I'm new with dealing with
conveyor belts, and I'm trying to find some information
regarding an issue we have across our site with the flow of
bauxite solids on the conveyor.
We have the solids drop
approximately 1.5 meters onto a fast moving conveyor below.
The majority of the solids (small pebbles of bauxite,
slightly wetted) is carried away by the belt - however there
is a small fraction bunches up at the back of the flow and
has a 'rolling ball' sort of motion (which we call
'boiling').
We can run the belt for a few
hours and no material accumulates, however it does not
decrease either. As bauxite is a highly abrasive material,
I'm concerned that this action will contribute to a fair
amount of wear on the belt.
Does anyone know what is
going on here, or the technical term for what is happening?

The SE Powders Show in Atlanta
was great, good to see old friends and make some new ones
too!
Three Powders Shows in
2008
Under Canon, the Powder Show
is spreading out. Next year, in 2008, there will be
the "normal", bi-annual International Powders show, to be
called the "Process Technology Expo International" at
Chicago in May, plus two additional regional shows.
One in January located at Anaheim, CA and the other in March
located at Charlotte, NC.
We will have to wait and see
if exhibitors and attendees will participate in so many
Powder shows in one year. All the shows will be the
new "combined" format, this done by co-locating several
shows together, on one site.
